Terms of Service
These Terms govern access to and use of the NorthMaxVault website, Client Portal, file-transfer, storage, review, delivery and related services. By using the service, you agree to these Terms.
1. Accounts
You are responsible for providing accurate account information, safeguarding your credentials and activity performed through your account. You must notify NorthMaxVault if you believe your account has been compromised.
2. Customer content
You retain responsibility for files and other content you upload or deliver. You grant NorthMaxVault the limited permission necessary to host, process, transmit and display that content solely to provide and operate the service.
3. Acceptable use
You may not use NorthMaxVault to violate law or third-party rights; distribute malware; attempt unauthorized access; interfere with service security or availability; abuse accounts, storage or delivery controls; or upload or distribute content you do not have the right to use or share.
4. Secure deliveries
Customers may configure passwords, expiration dates, download limits and lifecycle controls for deliveries. Senders are responsible for sharing links and passwords with intended recipients. A delivery may become unavailable because it expires, reaches its limit, is revoked or is otherwise restricted by the service.
5. Plans, storage and limits
Features, storage allowances, file-size limits and other service limits depend on the selected plan and may be displayed on the Pricing page or Client Portal. Customers must remain within applicable plan limits.
6. Paid subscriptions and billing
Paid plans are billed according to the price and billing period shown when you subscribe. Applicable subscription status and payment processing are handled through the billing system. Any taxes, refunds, cancellations or renewal terms shown during checkout or in the Client Portal form part of the applicable purchase terms.
7. Availability and changes
We work to provide a reliable service, but uninterrupted or error-free operation is not guaranteed. NorthMaxVault may maintain, modify, suspend or discontinue features when reasonably necessary for security, reliability, legal compliance or service development.
8. Suspension and termination
Access may be restricted or terminated for material violations of these Terms, abuse, security risk, nonpayment where applicable, or when required by law. Customers remain responsible for preserving copies of important files and exporting content they need before account closure when access is available.
9. Disclaimers
The service is provided on an “as available” basis to the extent permitted by law. NorthMaxVault does not guarantee that every transfer, upload, delivery or third-party integration will always be available or free from interruption.
10. Limitation of responsibility
To the extent permitted by applicable law, NorthMaxVault is not responsible for indirect or consequential losses arising from use of the service, loss of access, customer configuration, recipient actions or third-party services. Nothing in these Terms excludes rights or responsibilities that cannot legally be excluded.
11. Changes to these Terms
We may update these Terms as the service evolves. The effective date above identifies the current version. Continued use after an update constitutes acceptance where permitted by law.
